1. Acceptance of Terms and Agreement

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client” or “User”) and Prime Strategy, a business consulting firm located at 760 N Cherry St, Banning, CA 92220 (“Prime Strategy,” “we,” “us,” or “our”). By accessing our website at primestrategy.website, submitting a consultation request, or engaging our services in any capacity, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use our website or services. These Terms apply to all visitors, clients, and users of our website and services.

2. Description of Services

Prime Strategy offers a comprehensive range of professional business consulting services designed to help organizations achieve sustainable growth, operational excellence, and competitive advantage. Our core service areas include Business Strategy Development, Process Optimization, Market Research and Analysis, Change Management, and Technology Solutions Implementation.

The specific scope, deliverables, timelines, fees, and terms of each consulting engagement are defined in a separate Statement of Work (SOW) or Service Agreement, which becomes part of these Terms upon execution. In the event of a conflict between these Terms and a specific SOW, the SOW shall prevail with respect to that engagement.

Prime Strategy reserves the right to modify, expand, or discontinue any service offering at any time. We will make reasonable efforts to notify active clients of any material changes that affect their ongoing engagements.

3. Intellectual Property Rights

All content on the Prime Strategy website — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software — is the exclusive property of Prime Strategy or its content suppliers and is protected by United States and international copyright, trademark, and intellectual property laws.

With respect to work product created specifically for a client during a consulting engagement, ownership is governed by the terms of the individual Service Agreement. Unless explicitly stated otherwise in writing, all methodologies, frameworks, tools, templates, and pre-existing intellectual property used by Prime Strategy remain the sole property of Prime Strategy.

Clients are granted a limited, non-exclusive, non-transferable license to use deliverables provided under a Service Agreement for their own internal business purposes. Reproduction, redistribution, or resale of Prime Strategy deliverables without written permission is strictly prohibited.

4. Client Responsibilities and Obligations

Clients engaging Prime Strategy’s services agree to fulfill certain responsibilities that are essential for the successful delivery of consulting services. These responsibilities include providing accurate, complete, and timely information required for the engagement; designating appropriate personnel to liaise with our consulting team; granting necessary access to systems, data, and facilities as required; reviewing and providing feedback on deliverables within agreed timeframes; and ensuring internal stakeholders are engaged and available for required meetings or workshops.

Failure to meet these obligations may result in delays, additional costs, or reduced effectiveness of the consulting engagement. Prime Strategy shall not be held responsible for outcomes negatively affected by the client’s failure to fulfill their responsibilities.

5. Fees, Payment Terms, and Billing

Consulting fees are established in the applicable Service Agreement and are based on the scope of work, complexity, duration, and resources required. All fees are quoted in US Dollars unless otherwise specified. Prime Strategy reserves the right to adjust its standard rates annually, though rates for active engagements are locked in for the agreed contract period.

Payment terms are Net 30 from the date of invoice, unless otherwise agreed in the Service Agreement. Invoices not paid within the due date may be subject to a late payment fee of 1.5% per month on the outstanding balance. Prime Strategy reserves the right to suspend services for accounts with overdue balances exceeding 60 days.

Out-of-pocket expenses incurred during a consulting engagement (such as travel, accommodation, and third-party costs) will be billed to the client at cost, with prior approval for expenses exceeding agreed thresholds.

6. Confidentiality and Non-Disclosure

Both Prime Strategy and its clients acknowledge that during the course of an engagement, each party may disclose confidential and proprietary information to the other. “Confidential Information” includes business strategies, financial data, customer lists, technical information, and any other information marked as confidential or that a reasonable person would consider confidential given the circumstances.

Both parties agree to: hold all Confidential Information in strict confidence; not disclose Confidential Information to any third party without prior written consent; use Confidential Information only for the purposes of the consulting engagement; and promptly notify the other party of any unauthorized disclosure. These confidentiality obligations survive the termination of the engagement for a period of five years.

7. Limitation of Liability and Disclaimers

Prime Strategy’s consulting advice and recommendations are based on information provided by the client and our professional expertise. While we strive to deliver accurate and actionable guidance, business outcomes are inherently uncertain and subject to many variables beyond our control. Prime Strategy does not guarantee specific business results.

To the maximum extent permitted by applicable law, Prime Strategy’s total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client in the three months preceding the claim. In no event shall Prime Strategy be liable for indirect, incidental, consequential, special, or exemplary damages.

8. Termination of Services

Either party may terminate a Service Agreement by providing written notice as specified in the individual agreement. Upon termination, the client remains obligated to pay for all work completed up to the termination date, as well as any non-cancellable expenses already incurred on behalf of the client.

Prime Strategy reserves the right to terminate services immediately without notice in cases of client breach of these Terms, non-payment, or conduct that Prime Strategy reasonably determines to be harmful, unethical, or damaging to our reputation.

9. Dispute Resolution and Governing Law

In the event of any dispute arising from or related to these Terms or our services, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, the parties agree to participate in non-binding mediation before pursuing formal legal action.

These Terms and any disputes arising hereunder shall be governed by the laws of the State of California, without regard to its conflict of laws principles. Any legal action shall be brought exclusively in the courts of Riverside County, California.

10. General Provisions and Contact Information

These Terms, together with any applicable Service Agreements, constitute the entire agreement between you and Prime Strategy with respect to the subject matter herein, superseding all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Prime Strategy’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. We reserve the right to amend these Terms at any time by posting updated Terms on our website.
